Terms & Conditions
1- Acceptance of Terms
These Terms and Conditions constitute a legally binding agreement that governs the access to and use of X Tag Platform (below defined) and simultaneously governs all types of performances, activities, operations, services and/or transactions made through X Tag Platform, facilitated thereby, or connected therewith in any form or manner.
By accessing or using the X Tag platform (website, mobile app, passes services, digital profiles, enterprise dashboards), you agree to comply with all terms set forth in this agreement, the laws and regulations of the Kingdom of Saudi Arabia, and public morals and Islamic teachings.
If you do not agree, you must immediately stop using the platform. Continued use constitutes acceptance of this agreement and any future amendments.
2- Definitions
Company: AL-ROWAD FOR TELECOMMUNICATION AND INFORMATION TECHNOLOGY Company (One Partner), registered in Saudi Arabia under Commercial Registration No. 1010264936, headquartered in Riyadh, Kingdom of Saudi Arabia.
- Platform: X Tag website, mobile app, passes services, and all related offerings. For the purposes of these Terms and Conditions, any reference to the term ‘Platform’ or ‘X Tag’ shall, whenever the context so requires, be construed to automatically include and apply to the Company owning the Platform.
- User: Any natural or legal person accessing or using the platform.
- Services: Digital business cards, QR code sharing, enterprise management, passes services, and other features.
- Content: Data, files, or information submitted, stored, or shared by the user.
- Third-Party Services: Services provided by external providers, including Google Maps, Apple Wallet, SMS/email OTP services, .
3- Scope of the Agreement
This agreement governs all use of X Tag and its services, including:
- Creating and sharing digital business profiles.
- Managing team accounts and enterprise dashboards.
- Using third-party services such as Google Maps, Apple Wallet, SMS/email OTP.
4- User Obligations
4.1 Account and Security
- Users are responsible for maintaining account confidentiality.
- Accounts must not be shared without prior written consent from X Tag.
- Users must report unauthorized access or breaches immediately.
4.2 Accuracy of Information
- Users must provide correct, accurate, and up-to-date information.
- Users are responsible for content they submit; the company is not responsible for verifying it.
4.3 Legal & Moral Compliance
X Tag hereby affirms its commitment to operate in compliance with all applicable laws, rules, regulations, and other regulatory considerations governing its Services or related thereto. X Tag does not tolerate or allow in any manner whatsoever any User to use X Tag Platform and/or Services for any illegal or illegitimate purposes, or to engage in any activity that might directly or indirectly be in violation of the applicable rules and regulations.
As an example and without limitation, Users must not:
- Upload illegal, defamatory, obscene, harassing, threatening, violent, immoral, or offensive content.
- Share content violating copyright, trademarks, or intellectual property rights.
- Share personal information of others without consent.
- Use the platform for spam, promotions, or unsolicited offers.
- Engage in sectarian, racist, or discriminatory content.
- Impersonate others or misrepresent identity.
- Upload malware, viruses, or harmful software.
4.4 Content and Moderation
- All texts, concepts, ideas, designs, interfaces, photos, data, graphics, trademarks, logos, sounds, artwork and/or computer codes (collectively "Content"), including but not limited to the structure, idea, impressions, ‘look and feel’ of the overall image of X Tag Platform are all exclusive proprietary rights of X Tag that are legally protected and reserved.
- From time to time, parts of Content might contain errors, omissions, or typographical errors or might be out of date. X Tag may change, delete, or update any Content at any time and without prior notice. The Content is provided for informational purposes only and is not binding on X Tag in any way except to the extent it is specifically indicated to be so.
- Except as provided in the foregoing, X Tag does not grant to the User or any person any right to use, reproduce, copy, modify, transmit, display, publish, sell, license, create derivative works, publicly perform, or distribute by any means, method, or process whatsoever, now known or hereafter developed, any of the Content on or transmitted through X Tag Platform, including without limitation by transferring, downloading or otherwise copying any Content for any purpose or intention whatsoever. Any use of the Content, except as specifically permitted by X Tag, is strictly prohibited.
- User agrees that he will not impose an unreasonable or disproportionately large load on the infrastructure of X Tag Platform or X Tag’s systems or networks, or any systems or networks connected to X Tag Platform.
- X Tag reserves the right to review, monitor, remove, or restrict any content that violates Saudi law, Islamic principles, public morals, or these Terms.
5- Third-Party Services
- X Tag may integrate services from Google Maps, Apple Wallet, SMS/email OTP providers, .
- Use of these services is subject to their respective terms and privacy policies.
- X Tag is not responsible for failures, inaccuracies, downtime, or changes in third-party services.
- Users must comply with all applicable third-party rules when using these features.
6- Company Rights
- X Tag may modify, suspend, or discontinue services without prior notice.
- X Tag may suspend or terminate accounts in case of violations.
- X Tag may monitor content to ensure compliance but is not obligated to do so.
7- Limitation of Liability
- The platform is provided “as is.”
- X Tag is not liable for damages resulting from platform use, including user content, third-party actions, or technical failures.
- X Tag is not responsible for location inaccuracies, delayed or failed OTP messages.
8- Intellectual Property
- All platform IP (software, logos, designs) belongs to X Tag.
- Users retain ownership of submitted content but grant X Tag a nonexclusive license to use it for service delivery.
- Users must not copy, modify, or redistribute any platform material without written permission.
9- Data Protection & Privacy
- X Tag adheres to Saudi PDPL and related regulations.
- Users’ personal data (name, email, phone, location, profile data) is collected and processed for authentication, service delivery, and analytics.
- Users have rights to access, correct, or delete their data.
- Cross-border transfers of personal data require user consent and legal safeguards.
- Cybersecurity follows NCA guidelines.
- Users must review X Tag’s Privacy Policy, which provides further details on data collection and processing.
10- Mobile App & Permissions
- Users must grant the app permissions for features such as location, notifications, and camera.
- Users consent to receive push notifications and messages related to services, security, or promotions.
- iOS/Android app usage is subject to Apple App Store and Google Play policies.
11- Age Requirement
- Users must be at least 18 years old to register and use Apple Wallet passes.
- Users aged 13–17 may access free features and use paid services only with verified parental or guardian consent.
- By using the platform, users confirm they meet the applicable age requirements.
- X Tag reserves the right to suspend or terminate accounts that violate these age requirements.
12- Indemnity
- It is expressly agreed by Users that X Tag shall under no circumstances be liable or responsible for any losses or damages to Users or any other party whomsoever, arising on account of any Service or transaction undertaken through the Platform.
- User agrees and acknowledges that he shall be solely liable for any claims, damages, allegation arising out of Services offered and/or performed and/or requested and/or received through the Platform and shall hold X Tag harmless and indemnified against all such claims and damages.
- Furthermore X Tag shall not be liable for any claims, damages arising out of any negligence, misconduct or misrepresentation by Users.
- User agrees to indemnify and hold X Tag, its affiliates and their officers, directors, employees and agents harmless from any and all claims, demands, losses, liabilities, and expenses arising out of or in connection with: (a) the User’s use of the X Tag Platform and the Services; (b) the User’s breach or violation of these Terms & Conditions; or (c) the other User’s violation of the rights of any third party.
- X Tag will not be liable to the User for any indirect or consequential losses (including loss of profit, opportunity, and goodwill) in any way or form or for any reason whatsoever.
13- Force Majeure
- X Tag shall not be liable for any non-performance or delay in performance caused by any force majeure event of whatsoever nature, or any act beyond its reasonable control, including but not limited to delays, unavailability, errors, or other failures of the Internet or other data networks.
14- Changes and Updates in Terms
- The Company owning X Tag Platform has the right at any time and without prior notice, at its sole discretion, to revise these Terms or to introduce new terms and conditions with respect to access to, or use of, X Tag Platform. In particular, X Tag’s Policies and Terms & Conditions may be changed or updated to meet any new requirements and standards. Any change in X Tag’s Policies and Terms & Conditions shall be effective immediately once published on X Tag Platform.
- The User is responsible for reviewing the Terms & Conditions on X Tag Platform regularly and be aware of any published updates. The User undertakes to be bound by any modification to the Terms & Conditions. Any access or use of X Tag Platform by the User shall automatically constitute consent of User to such revisions or additions. No modification to these Terms shall be done by any party except for Company owning the Platform.
15- Governing Law & Dispute Resolution
- These terms are governed by the laws of the Kingdom of Saudi Arabia.
- Any disputes will be resolved by the competent Saudi courts in Riyadh.
- At the Company’s discretion, disputes may alternatively be referred to arbitration in Saudi Arabia, in accordance with applicable regulations.
